This Terms of Service Agreement (the "Agreement") is made and entered into as of [Date], by and between Well Awareness (hereinafter referred to as the "Company"), a business located at 705 concession 2 N Amherstburg, N9V3R3, Canada, and [Customer/Business Name] (hereinafter referred to as the "Customer"), with their principal place of business at [Address], and Theven Sabga as the designated contact.

WHEREAS, the Company is engaged in the Health and Wellness industry; and

WHEREAS, the Customer desires to engage the services of the Company, as outlined in this Agreement;

NOW, THEREFORE, in consideration of the mutual promises set forth herein, the sufficiency of which is hereby acknowledged, the Company and the Customer (collectively referred to as the "Parties"), intending to be legally bound, hereby agree as follows:

SERVICES PROVIDED

The Company agrees to provide Health and Wellness services to the Customer as requested and agreed upon between the Parties.

TERMS OF ENGAGEMENT

The term of this Agreement shall commence on the effective date and shall continue until terminated by either Party in accordance with the termination provisions set forth herein.

PAYMENT TERMS

The Customer agrees to pay the Company the specified fees for the services rendered. Payment shall be made in the manner and according to the schedule set forth in the Company's invoice or as otherwise mutually agreed upon.

DISCLAIMER OF GUARANTEED RESULTS

The Customer acknowledges and understands that the Company does not guarantee any specific results from the services provided. The Company will make reasonable efforts to achieve the desired outcomes but cannot guarantee the effectiveness or results of the Health and Wellness services.

INTELLECTUAL PROPERTY RIGHTS

Any intellectual property, including but not limited to trademarks, copyrights, or proprietary information related to the Company's services, shall remain the sole property of the Company. The Customer shall not reproduce, distribute, or disclose any intellectual property without prior written consent from the Company.

CONFIDENTIALITY

During the term of this Agreement and thereafter, the Parties agree to keep all non-public business, technical, and financial information ("Confidential Information") exchanged between them confidential. The Parties agree not to disclose such Confidential Information to any third party without the prior written consent of the other Party.

LIMITATION OF LIABILITY

The Customer acknowledges and agrees that the Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the services provided or the use of such services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.
